Terms & Conditions

Effective Date: 1 January 2023

1. Scope of Application

These Terms and Conditions govern all freight forwarding, customs brokerage, transportation, warehousing, and related logistics services provided by Sangoda Investment Company Limited ("SANGODA", "we", "us") to its clients ("Client"). By engaging our services, the Client agrees to be bound by these Terms.

2. Services

SANGODA acts as a freight forwarder and logistics intermediary. We arrange the transport of goods on behalf of the Client using carriers, airlines, shipping lines, and other third-party service providers. SANGODA does not operate its own vessels, aircraft, or vehicles unless explicitly stated.

3. Instructions and Documentation

The Client shall provide accurate, complete, and timely shipping instructions. SANGODA shall not be liable for any loss, damage, or delay arising from inaccurate, late, or insufficient instructions. The Client warrants that all cargo descriptions, weights, values, and HS codes provided are correct.

4. Dangerous Goods

Clients shipping Dangerous Goods (DG) must notify SANGODA in advance, provide MSDS/SDS sheets, and ensure correct UN packaging and labeling in accordance with IATA, IMDG, or ADR regulations, as applicable. SANGODA reserves the right to refuse or halt shipments that do not comply.

5. Liability

SANGODA's liability, where established, is limited to the lesser of (a) the actual proven damage, or (b) SDR 2.00 per kilogram of gross weight of goods lost or damaged. This limitation is consistent with international conventions including CMR, Warsaw, and Hague-Visby Rules. SANGODA shall not be liable for indirect, consequential, or special losses.

SANGODA is not liable for acts of God, force majeure events, government intervention, strikes, or any circumstances beyond our reasonable control.

6. Customs Clearance

Where SANGODA arranges customs clearance, the Client is solely responsible for the accuracy of all declarations and must indemnify SANGODA against any penalties, fines, or duties arising from incorrect information provided by the Client.

7. Charges and Payment

All charges are due upon receipt of invoice unless otherwise agreed in writing. SANGODA reserves the right to apply a lien on goods pending payment of outstanding balances. Overdue invoices attract interest at 2% per month.

8. Insurance

Cargo insurance is NOT automatically included in our services. Clients are strongly encouraged to take out adequate marine cargo insurance. SANGODA can arrange insurance upon written request before shipment at the Client's cost.

9. Claims

Any claim for loss or damage must be submitted in writing within 14 days of delivery (or the date delivery should have occurred). Claims not submitted within this period shall be deemed waived.

10. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes not resolved amicably shall be submitted to the jurisdiction of the courts of Dar es Salaam, Tanzania.

11. Amendments

SANGODA reserves the right to amend these Terms at any time. Continued use of our services after publication of amended Terms constitutes acceptance.
